General Description / Job Purpose: Legal Counsel: Corporate is responsible to support the Head of Legal Affairs in providing general guidance on M&A transactions, corporate finance transactions, trust management, corporate governance, the drafting and reviewing of a wide array of commercial contracts and providing advice on all corporate transactions and legal compliance requirements within the Red Rocket group.Responsibilities:Support the Head of Legal Affairs with:·        Corporate M&A and extraordinary transactionso  Supporting the CEO, CFO, and COO in all M&A activities and supporting and coordinating the legal aspects of M&A and extraordinary transactions. o  Drafting and supporting the M&A team on negotiation of LoI, MOU, Term sheets, Binding Offers, etc.o  Coordinating due diligence processes (both for sale and buy side) with main tasks and responsibility on the legal due diligence. ·        Project M&Ao  Supporting the Head of Development in procuring new project companies through the drafting, negotiating and management of SPAs and ancillary agreements.o  Managing external advisers.o  Coordinating corporate elements of due diligence processes for new projects.·        Administration of trustso  Managing the administration of the Red Rocket Opportunity Trust and any other such similar special purpose investment vehicles required by the group.·        Corporate finance transactionso  Supporting the Head of Finance and the Head of Corporate Investment Finance with corporate finance transactions, including equity finance arrangements.·        Corporate Governanceo  Supporting the Group Company Secretary with company secretarial requirements for the group.o  Managing corporate policy implementation and related reporting requirements to the Board and other stakeholders.·        Drafting and reviewing of commercial contractso  Drafting, reviewing and advising on commercial contracts such as SLAs, Terms and Conditions, NDAs, MOUs for all teams within the business, including any new business initiatives of the Red Rocket group.Minimum Educational Qualifications:·        Must have a LLB or similar degree in Law from an accredited law school ·        Admitted AttorneyMinimum Previous Experience:·        Must have at least 4 years post qualification experience working in a corporate commercial legal capacity within a fast-paced, fast-evolving and dynamic environment, preferably working as an Associate or legal advisor.·        Experience in negotiations on complex, high-value contracts, and agreements.·        Preference will be given to candidates who have industry experience within the renewable energy sector.Other Skills:·        Legal Skillso  The ability to identify and remedy complex legal issues without necessarily inviting the services of external legal advice. o  The ability to draft and manage complex regulatory documentation, handling such matters comfortably within a fast-paced business environment.·        Communication Skillso  Must have exceptionally good communication skills, both written and verbal. o  He/she will additionally need good communication skills in drafting high-value legal documentation, which must be clear, unambiguous and concise.·        Interpersonal Skillso  Must be a results-driven and service-driven individual, must have exceptionally good problem solving skills, be highly adaptable and flexible, work comfortably in a fast-paced and dynamic environment, have an ability to handle multiple simultaneous tasks and meet tight deadlines, be proactive and self-motivated, have a keen eye for detail, and have an ability to remain calm and composed during times of uncertainty and stress.·        Computer skillso  Must have good MS Office, MS Word, MS Excel, and PowerPoint skills, which will be necessary in the creation of various legal documents and engaging presentations as necessary.General skillso  Must possess strong initiative, as well as excellent people skills with a strong business acumen.LanguagesEnglish (Read, write & speak)The Group uses LinkedIn for a lot of its recruitment needs as well as numerous recruitment agencies.
